The incorporation
of companies, as well as begin up to date in regards to their By-Laws, to the
requirements needed for the holding of Stockholders Meetings, and to the
formalities which the Law demands for the validity of the resolutions adopted;
to take the company actions and the prestige; to certify the risk conditions in
legal matters to the auditors, when audits are being carried out, and this
generally represents a serious professional responsibility; the drawing up of
minutes, their translation when the client so requests or when they are
foreigners.
The certification of evidences which a Secretary must do; to be up to date when
changes in the legislation occur (such as when it happened with the General Law
of Mercantile Corporation some years ago, when it permitted the incorporation of
surplus to the capital, and which also changed the form and concept of the
reports of the Board of Directors and of the Vigilance Officers submitted to the
Stockholders Meeting, and which, later on, eliminated the existence or shares to
the bearer).
We also cooperate with the companies in order to give them elements when they
are in doubt regarding the carrying out of the registries and books set forth in
the Law of Mercantile Corporations. Everything that relates to Corporations are

We obtain licenses and authorizations to incorporate and modify companies,
whether corporations or partnerships.
We perform the recording proceeding of property acquired by Mexican corporations
having a clause for admission of foreigners.
